Corporate Wellness Services Agreement

1. AGREEMENT TO TERMS
These Terms and Conditions for Business ("Business Terms") constitute a legally binding agreement between DietOwl ("Company," "we," "us," or "our") and the corporate entity ("Client," "you," or "your") engaging our corporate wellness services.
By engaging our corporate wellness services, you acknowledge that you have read, understood, and agree to be bound by these Business Terms, along with our general Terms and Conditions and Privacy Policy.
2. CORPORATE WELLNESS SERVICES
Our corporate wellness services include but are not limited to:
- Employee health assessments and screenings
- Personalized nutrition consultation programs
- Wellness workshops and educational sessions
- Health coaching and lifestyle management
- Corporate meal planning and dietary guidance
- Health monitoring and progress tracking
- Wellness program design and implementation
- Employee engagement and motivation strategies
3. SERVICE DELIVERY AND SCHEDULING
3.1 Service Schedule: Services will be delivered according to the agreed-upon schedule outlined in your corporate wellness package. Any changes to the schedule must be communicated in writing at least 48 hours in advance.
3.2 Venue and Equipment: The Client is responsible for providing appropriate venue space, equipment, and technical support for in-person sessions. Virtual sessions require stable internet connectivity and appropriate software.
3.3 Cancellation Policy: Cancellations must be made at least 24 hours before scheduled sessions. Late cancellations may result in charges for the full session fee.
4. PAYMENT TERMS
4.1 Pricing: All corporate wellness services are subject to the pricing structure outlined in your service agreement. Prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes.
4.2 Payment Schedule: Payment terms are net 30 days from the date of invoice unless otherwise specified in your service agreement. Late payments may incur additional charges.
4.3 Refund Policy: All payments for corporate services are final. No refunds will be provided for any services or sessions, whether completed or not.
5. CLIENT RESPONSIBILITIES
The Client agrees to:
- Provide accurate employee information and health data as required
- Ensure employee participation and engagement in wellness programs
- Maintain confidentiality of employee health information
- Provide necessary facilities and resources for program delivery
- Communicate program expectations and requirements to employees
- Support and promote wellness initiatives within the organization
- Provide feedback and evaluation data as requested
6. CONFIDENTIALITY AND DATA PROTECTION
6.1 Employee Privacy: We are committed to protecting the privacy and confidentiality of employee health information. All data collection and processing complies with applicable data protection laws.
6.2 Data Handling: Employee health data will be collected, stored, and processed in accordance with our Privacy Policy and applicable regulations. Aggregate data may be used for program evaluation and improvement.
6.3 Confidentiality Agreement: Our wellness professionals are bound by confidentiality agreements and will not disclose individual employee health information without proper authorization.
7. INTELLECTUAL PROPERTY
7.1 Company Materials: All materials, content, and intellectual property provided by DietOwl remain our exclusive property. These materials may not be reproduced, distributed, or used for commercial purposes without written permission.
7.2 Custom Content: Custom wellness programs and materials developed specifically for your organization will be delivered as agreed upon in your service package.
8. LIABILITY AND DISCLAIMERS
8.1 Health Disclaimer: Our wellness services are educational and advisory in nature. We do not provide medical diagnosis, treatment, or prescription services. Employees should consult healthcare professionals for medical concerns.
8.2 Limitation of Liability: Our liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
8.3 Indemnification: The Client agrees to indemnify and hold harmless DietOwl from any claims arising from the Client's use of our services or violation of these terms.
9. TERM AND TERMINATION
9.1 Service Term: The term of service will be as specified in your corporate wellness agreement. Services may be renewed by mutual agreement.
9.2 Termination: Either party may terminate this agreement with 30 days written notice. Early termination may incur additional charges as specified in your service agreement.
9.3 Effect of Termination: Upon termination, all outstanding payments become due immediately, and access to services will be discontinued.
10. FORCE MAJEURE
Neither party shall be liable for any delay or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, or other unforeseeable events.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 Governing Law: These Business Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Bangalore, India.
11.2 Dispute Resolution: Parties agree to attempt resolution of disputes through good faith negotiation before pursuing legal action.
12. AMENDMENTS AND MODIFICATIONS
These Business Terms may be amended from time to time. Material changes will be communicated to clients in writing. Continued use of services after changes constitutes acceptance of the modified terms.
13. SEVERABILITY
If any provision of these Business Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14. ENTIRE AGREEMENT
These Business Terms, along with your corporate wellness service agreement, constitute the entire agreement between the parties regarding corporate wellness services.
